These Subscription Terms ("Subscription Terms") govern your purchase and use of a paid subscription to the BOH Brain platform ("Platform"), operated by BOH Brain LLC ("BOH Brain", "we", or "us"). These Subscription Terms are incorporated into and subject to our Terms of Service. By purchasing a subscription, you agree to these Subscription Terms.
BOH Brain is a restaurant and bar cost management platform that provides tools for invoice processing, ingredient catalog management, recipe costing, menu analysis, competitor benchmarking, and AI-powered data extraction. Features vary by subscription plan.
We offer the following subscription tiers:
Plan features and limits are subject to change. We will notify you of any material changes to your current plan with reasonable advance notice.
Subject to your compliance with these Subscription Terms and payment of applicable fees, BOH Brain grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform during your subscription period for your internal business purposes.

We may offer a free trial period for paid plans at our discretion. Free trials are provided for evaluation purposes only and are limited to one trial per organization. We reserve the right to modify or terminate free trials at any time.
If you do not cancel before the end of your free trial period, your subscription will automatically convert to a paid subscription and you will be charged the applicable plan fee. We will send you a reminder before your trial ends.
a. Billing cycle. Paid subscriptions are billed on a monthly basis from the date of purchase, unless you select an annual plan where available. Billing recurs automatically until you cancel.
b. Payment processing. All payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. You must keep your billing information current and accurate.
c. Price changes. We may change subscription pricing at any time. If your plan price increases, we will notify you at least 30 days in advance and the new price will apply at your next renewal. Your continued use of the Platform after the price change takes effect constitutes your acceptance of the new price.
d. Taxes. All fees are exclusive of applicable taxes. You are responsible for any sales, use, or similar taxes assessed on your subscription.
a. How to cancel. You may cancel your subscription at any time through the billing portal accessible from your account's Billing page, or by contacting us at support@bohbrain.com.
b. Effect of cancellation. Upon cancellation, your subscription will remain active until the end of the current billing period. After that, your account will revert to the Free plan. You will not lose access to your data immediately; however, features restricted to paid plans will become unavailable.
c. Refund policy. BOH Brain does not provide refunds for any prepaid portion of a subscription fee, except where required by applicable law. If you believe you were charged in error, contact us within 30 days of the charge at support@bohbrain.com.
You retain ownership of all data you submit to the Platform, including recipes, ingredient pricing, invoice data, and menu information ("Your Data"). You grant BOH Brain a limited license to use Your Data solely to provide and improve the Platform services to you.
BOH Brain may use anonymized and aggregated data derived from platform usage (not Your Data in identifiable form) to improve AI models, parsing accuracy, and platform features. We will not share or expose your identifiable business data to other users or third parties, except as described in our Privacy Policy.
Upon termination of your subscription, we will retain Your Data for a reasonable period to allow you to export it. After that period, we may delete Your Data in accordance with our data retention policy.
Certain platform features use artificial intelligence to extract and parse data from documents such as invoices, recipes, and menus. AI-powered features are available on paid plans only.
AI results are provided as a convenience and may not always be accurate. You are responsible for reviewing and verifying all AI-extracted data before relying on it for business decisions. BOH Brain is not liable for errors in AI-generated output.
We use third-party AI providers (including OpenAI) to power certain features. Document content you submit for AI parsing may be processed by these providers in accordance with their own terms of service and privacy policies.
We may suspend or terminate your access to the Platform immediately and without notice if:
Upon termination for cause, you will not be entitled to a refund of any prepaid fees.
To the maximum extent permitted by applicable law, BOH Brain's total liability arising out of or related to these Subscription Terms shall not exceed the greater of (a) the total fees paid by you in the three months preceding the claim, or (b) one hundred US dollars ($100).
BOH Brain shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.
Any dispute arising out of or related to these Subscription Terms that cannot be resolved informally shall be submitted to binding arbitration administered under the rules of the American Arbitration Association ("AAA"), to the extent permitted by applicable law. The arbitration shall take place in California, and shall be conducted in English.
You waive any right to participate in a class action lawsuit or class-wide arbitration against BOH Brain. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.
These Subscription Terms are governed by the laws of the State of California, United States, without regard to its conflict of law principles.
We may update these Subscription Terms at any time. We will notify you of material changes by email and by posting the updated terms on the Website. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised terms.
